Terms and Conditions – Jurisdictions

The terms and conditions below relate to the legal relationship between Trippz and the Jurisdiction that monitors or supplements Legal Fees via the Trippz Platform.

Trippz offers a service whereby a customer (a third party) receives the current Legal Rates from Trippz for a fee. The Jurisdiction expressly agrees to this.

Trippz is not a party to any agreement between the Jurisdiction and any third party.

Article 1 – Definitions

• General Terms and Conditions: these present Trippz general terms and conditions that apply to the Agreement.
• Jurisdiction: the Jurisdiction that checks and, if necessary, supplements its Legal Rates via the Platform.
• Agreement: the contract for services to which these General Terms and Conditions apply, which is concluded between the Jurisdiction and Trippz because the Jurisdiction uses the Platform to check and supplement its Legal tourist tax rates (hereinafter: Rates).
• Platform: the online platform on the trippz.app website for which Jurisdictions can check and supplement their fees.
• Rates: the Legal tourist tax rates that the Jurisdiction uses and checks or supplements via the Platform.
• Trippz: a private company with limited liability, registered with the Chamber of Commerce under number 78453925 and having its registered office at Lange Viestraat 2B, office 414 in (3511 BK) Utrecht.

Article 2 – General provisions

• 1. The General Terms and Conditions apply to all Trippz offers and to all Agreements.
• 2. Any general terms and conditions used by the Jurisdiction are expressly rejected and do not apply to agreements entered into with Trippz.
• 3. If one or more provisions in the General Terms and Conditions are wholly or partially void or destroyed, the other General Terms and Conditions will continue to apply in full. The void or voided part will be replaced by a provision that follows the content of the void or voided provision as closely as possible.
• 4. The content of the General Terms and Conditions as well as the content of all other statements of Trippz on the internet have been compiled with the greatest care. However, Trippz cannot make any guarantees as to the nature, accuracy or content of this information. Trippz is not liable for any errors or inaccuracies, or for the consequences of using the relevant incorrect information.
• 5. Trippz reserves the right to unilaterally change the General Terms and Conditions, including for the duration of current Agreements.
• 6. In the event that Trippz changes the Terms and Conditions, it will notify the Jurisdiction no later than 2 months prior to the change.

Article 3 – Conclusion of the Agreement

• 1. The Agreement between Trippz and a Jurisdiction is established after the Jurisdiction logs into the Platform with its personal activation code.
• 2. In the event Trippz is not provided with all the requested information from the Jurisdiction that Trippz deems necessary for the performance of the Agreement, Trippz shall be free in its sole discretion to perform or cancel the Agreement to be performed.
• 3. Trippz is expressly not a party to any agreements or negotiations between Jurisdictions and parties that arise through the use of its services or website(s)

Article 4 – Prices

• 1. Trippz will not charge any fees to the Jurisdiction for the performance of the Agreement.
• 2. Trippz has the right to change its rates in the interim, unless otherwise agreed between Trippz and the Jurisdiction.

Article 5 – Term of Agreement and termination

• 1. The Agreement between the Jurisdiction and Trippz is entered into for an indefinite period of time.
• 2. The Agreement can be terminated by both Trippz and the Jurisdiction with due observance of a notice period of 1 month, unless there is a direct ground for termination from the General Terms and Conditions.

Article 6 – Platform

• 1. Trippz conducts its own research into the structure and rates of tourist tax within Jurisdictions and fills this in in advance on the Platform. Trippz uses public sources for this, such as websites of Jurisdictions on which this structure and rates are published.
• 2. Trippz’s investigation is carried out on the basis of ‘best possible effort’, whereby Trippz takes measures, which may reasonably be expected of it, to guarantee the quality of the data entered. However, this is emphatically no guarantee that the data is 100% error-free. Errors in public sources, as well as human errors during input, can never be completely ruled out, despite quality measures.
• 3. The Jurisdiction expressly indemnifies Trippz against any claim by third parties in connection with (any) incorrect data on the Platform.
• 4. Trippz makes every effort to make and keep the Platform (and its website) available 24/7, but cannot guarantee this. Trippz is therefore not liable in the event that the Platform/website is unreachable for some time.
• 5. The Jurisdiction must protect the login details of its account from third parties and keep the password secret.
• 6. By using the Platform, the Jurisdiction represents that its account will be used only by its authorized representative.
• 7. The Jurisdiction may not create an account under the name of any other party or impersonate any other party.
• 8. The Jurisdiction may not approach other users of the Platform for commercial purposes.

Article 7 – General obligations Jurisdiction

• 1. The Jurisdiction must ensure that all information requested by Trippz for the performance of the Agreement is provided to Trippz in a timely, complete and correct manner.
• 2. The Jurisdiction must promptly notify Trippz of any changes to its records.
• 3. If Trippz is held liable for damage that may have arisen because the Jurisdiction has provided Trippz with incorrect information, the Jurisdiction is obliged to indemnify Trippz for the relevant damage.
• 4. The rights and obligations arising from the Agreement between the Jurisdiction and Trippz cannot be transferred to another natural or legal person, unless Trippz expressly consents to this.
• 5. The Jurisdiction undertakes to maintain the confidentiality of all confidential information obtained under the Agreement with Trippz. Confidentiality arises from the Agreement itself or from which the parties can reasonably expect that it concerns confidential information.
• 6. If the Jurisdiction does not fulfill its obligations, Trippz is entitled to suspend or terminate its contractual obligations, without Trippz thereby becoming liable for damages in any way towards the Jurisdiction.

Article 8 – Intellectual property

All copyrights and intellectual property of Trippz, including those arising or arising from the Website, are and remain the exclusive property of Trippz.

Article 9 – Privacy, data processing and security

• 1. Trippz handles the (personal) data of the Jurisdiction and its representatives who use the Platform with care.
• 2. Processing of personal data will only take place in the context of the performance of Trippz’s services. Trippz will not process the personal data for any purpose other than that stated in the General Terms and Conditions. By entering into the Agreement, the Jurisdiction declares to be aware of this.
• 3. The bases for the processing of personal data are the execution of the Agreement, legitimate interests (good service provision, internal administration) and legal obligations (tax legislation, etc.).
• 4. If Trippz is required to provide information security due to the nature of the service(s) it offers, this security will meet the agreed specifications and a security level that, in view of the state of the art, the sensitivity of the data, and the associated costs, is not unreasonable.

Article 10 – Liability and force majeure

• 1. Trippz is expressly not a party to any future agreements or other relationship between the Jurisdiction and any other party.
• 2. Trippz is never liable for direct and/or indirect damage caused by any errors on the Platform, regardless of whether these errors were caused by Trippz or by incorrect information provided by third parties.
• 3. Trippz’s liability for an attributable failure to perform the Agreement shall arise only after the Jurisdiction provides Trippz with immediate and proper written notice of default, including a reasonable term to remedy the failure and Trippz also after such term continues to fail to fulfill its obligations.
• 4. In the context of (replacement) maintenance, Trippz is entitled to take all or part of its systems and Platform out of use for a limited period of time, without owing any compensation or costs to the Jurisdiction in this regard.
• 5. Trippz is not obliged to perform any obligations to the Jurisdiction in the event of force majeure.
• 6. Trippz may suspend the obligations under the Agreement during the period that the force majeure continues. If the force majeure lasts longer than a period of 60 days, both the Jurisdiction and Trippz are entitled to terminate the Agreement, without any obligation to compensate the damage (if any) suffered by the Jurisdiction.

Article 11 – Complaints

• 1. If the Jurisdiction is not satisfied with Trippz’s services or otherwise has complaints about the Agreement, the Jurisdiction is obliged to report these complaints as soon as possible, but no later than 14 days after the relevant cause that led to the complaint. Complaints can be reported via support@trippz.app with the subject “Complaint”.
• 2. The Complaint must be sufficiently substantiated and/or explained by the Jurisdiction if Trippz is to be able to handle the complaint and declare it well-founded.
• 3. Trippz will respond substantively to the complaint as soon as possible, but no later than 14 days after receipt of the complaint.
• 4. Trippz and the Jurisdiction will try to reach a solution jointly and by mutual agreement.

Article 12 – Applicable law and competent court

• 1. Dutch law applies to the Agreement.
• 2. Disputes about the Agreement will be submitted exclusively to the District Court of Central Netherlands.
